Terms of Service

You must be at least 18 years old and capable of entering into a legally binding contract under the Indian Contract Act, 1872 to use the Service. The Service is intended for business use by sales teams and organizations, not for personal or household use.

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must notify us promptly at privacy@teem.co.in if you become aware of any unauthorized use of your account.

We currently offer a free trial period for new customers. At the end of the trial, you will need to subscribe to a paid plan to continue using the Service. We may modify, limit, or discontinue the free trial offer at any time without notice.

• Use of the Service beyond the free trial requires a paid subscription, billed at the rates and intervals shown at the time of purchase.
• Fees are billed in advance and are non-refundable, including for partial billing periods, early cancellation, or unused portions of the Service.
• We may change our fees with at least 30 days' notice before the change applies to your next billing cycle.
• You are responsible for any applicable taxes (such as GST) in addition to the listed fees, unless stated otherwise.

• As between you and Teem, you own all data you input into the Service, including data about your leads and contacts, and any data pulled in through connected integrations (such as Google Ads, Meta Ads, or WhatsApp).
• You grant us a limited license to host, store, and process this data solely to provide the Service to you, as described in our Privacy Policy.
• You are responsible for ensuring you have the right to collect, store, and process the data you input into the Service, including data about your own leads and contacts.
• You may export your data at any time during your subscription. After cancellation, your data is retained and then deleted in accordance with our Privacy Policy.

The Service allows you to connect third-party platforms, including Google Ads, Meta Ads, and WhatsApp Business API. These integrations are subject to the respective third party's own terms of service and policies. We are not responsible for the availability, accuracy, or performance of these third-party platforms, or for any changes they make to their own APIs or policies that affect the integration.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law;
• Use the Service to send unsolicited communications in violation of applicable law (including India's Telecom Commercial Communications Customer Preference Regulations, where applicable);
• Attempt to gain unauthorized access to the Service, other accounts, or our systems;
• Reverse-engineer, decompile, or attempt to extract the source code of the Service;
• Resell, sublicense, or provide the Service to third parties without our written consent;
• Upload data that infringes the intellectual property or privacy rights of any third party.

We may suspend or terminate accounts that violate this section.

The Service, including its software, design, branding, and underlying technology, is owned by Teem and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service — only a limited right to use it as intended, for the duration of your subscription.

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or fully secure.

To the maximum extent permitted by applicable law:

• Teem's total liability arising out of or relating to these Terms or the Service shall not exceed the total fees you paid to us in the 12 months preceding the event giving rise to the claim.
• Teem shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.

Nothing in this section limits liability that cannot be limited under applicable Indian law.

You agree to indemnify and hold Teem harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right.

• You may cancel your subscription at any time through your account settings; cancellation will take effect at the end of your current billing period.
• We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if required by law.
• Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including Sections 5, 8, 9, 10, 11, and 14) will continue to apply.

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, internet or infrastructure outages, governmental action, or other events of force majeure.

• These Terms are governed by the laws of India.
• The courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.
• Before initiating any legal proceeding, both parties agree to first attempt to resolve the dispute informally by contacting privacy@teem.co.in.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date, or by emailing you. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
• Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Teem regarding the Service.
• No Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
• Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
